You acknowledge and agree that exchange of personal information about an individual will be governed by WEBS’ Privacy Guidelines (a copy of which is available upon request), as amended from time to time and applicable law. WEBS Inc. is committed to respecting the privacy and confidentiality of such information it receives in connection with the group benefit plan in accordance with its Privacy Guidelines, and applicable law. WEBS has established and will continue to maintain reasonable safeguards to protect the security and confidentiality of personal information. However, you acknowledge and confirm that the Internet is not a secure medium where privacy and confidentiality can be guaranteed and that complete security and confidentiality of transmissions to and from this site over the Internet is not possible at this time. Your confidential use of this site cannot be guaranteed and you acknowledge that your use of this site (including information you transmit to the site) may be subject to access or manipulation by, or disclosure to, third parties. You represent and warrant that you have received the written consent of any individual to provide his or her personal information to WEBS for use in conjunction with the site. WEBS Administration and Enrollment User Agreement

The WEBS Administration and Enrollment service available to you on this site (“WEBS”) shall be governed by this WEBS User Agreement (the “Agreement”). By registering for use of this site, you acknowledge that you have read, understood and agreed to be bound by the terms and conditions set forth in this Agreement, as amended from time to time. If you do not agree with the terms and conditions set forth in this Agreement, do not register for use of WEBS.

Use of WEBS

• WEBS Inc. authorizes you to use this site solely for purposes related to the administration of the group benefit plan. WEBS Inc. reserves the right to suspend any services provided on this site for violating any of these terms and conditions. In order to use this site, you must have attained the minimum prescribed age in the jurisdiction in which you are resident to contract for the products and services.
• Any information or transaction accessed, transmitted or performed through this site which is related to any third party product or service shall be subject to any terms, conditions or restrictions applicable to such product or service.

Use of user name and password

• Your user name and password will constitute your electronic signature (“Electronic Signature”) in your dealings on this site. You authorize WEBS Inc., or any other party, as applicable, to execute any instructions which are provided pursuant to your Electronic Signature. You acknowledge and agree that your Electronic Signature is the legal equivalent to your written, signed instructions.
• You agree that the web pages you access shall constitute written documents and that clicking or otherwise electronically activating "assign", "save", "submit", "continue", "ok" or any other similar icons on such pages according to on-line instructions shall have, except as otherwise specifically indicated, the same legal effect as if you had signed and delivered hard copy versions of such documents to WEBS Inc.
• You agree to be liable for all uses of your Electronic Signature and you acknowledge that WEBS Inc. shall not be required to verify the actual identity or authority of any user of your Electronic Signature. You further agree to be liable for any loss caused as a result of or in connection with, any use or unauthorized use of your Electronic Signature, including any transaction performed, or information obtained through such use, even without your knowledge or consent.
• You agree to take appropriate security measures to protect the confidentiality of your Electronic Signature (including those measures set forth in Your Responsibility) and to guard against misuse of your information. You will notify WEBS Inc. immediately should the confidentiality of your user name or password be in jeopardy or that there has been unauthorized use of your Electronic Signature.

User Information

• You agree that all information you provide to WEBS Inc. in any connection with this site is true, accurate and complete in all ways and you acknowledge that we rely on that information to provide you with information regarding the administration of the group benefit plan.

Records

• All transaction records ("Records") for WEBS transactions are subject to verification and acceptance by WEBS Inc.. Such Records, whether electronic or otherwise shall be conclusive and binding on you for all purposes in the absence of clear proof that the Records are incomplete or incorrect.

Amendments

• The content of this site and any or all of the services provided under WEBS may change at any time, with or without notice to you. Any or all of such services may periodically be unavailable to you in order to allow for maintenance, updates or other reasonable causes, including causes beyond the control of WEBS Inc.
• WEBS Inc. may amend this Agreement at any time without prior notice to you, so we recommend that you review this Agreement regularly. Any changes to this Agreement will be posted on this site from time to time. By accessing or using this site, you agree to be bound by any such change.

Your Responsibility

• You have an important role to play in ensuring that your login information is kept safe.
• Before using WEBS, read the Terms of Use and Privacy Policy
• Your user name and password should be kept confidential; do not share them with anyone either deliberately or through carelessness.
• Do not select a password that would be obvious or easy to guess (e.g. "12345" or "password").
• Take precautions that no one can see your login information when logging on.
• Memorize your user name and password. If you must record it on paper, store it in a safe location.
• Do not leave your computer unattended when you are logged on. Sign off if you are going to be away from your computer, even for short periods of time.
• E-mail is not encrypted; therefore it is not recommended that you send any personal or confidential information to WEBS Inc. or any third party by e-mail (e.g. user name, logon ID, password).

Cancellation of WEBS Access

• You may cancel your access to WEBS at any time by providing notice in writing or by electronic means to WEBS Inc. at least thirty (30) days prior to the effective date of cancellation.
• WEBS Inc. may cancel any or all of the services provided by, or your access to, WEBS at any time without notice to you. WEBS Inc. will have no liability for any loss, damage or inconvenience that may result from cancellation.

Website Terms of Use

• You agree to be bound by all of the terms and conditions contained in the Terms of Use and Privacy Policy, which terms and conditions are incorporated herein and form an integral part of this Agreement.

General

• This Agreement shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree that any legal actions arising under this Agreement must be commenced in the courts of the Province of Ontario.
• If there is any inconsistency or conflict between the terms and conditions of this Agreement and those of any predecessor agreement that you may have entered into relating to any access method offered by WEBS Inc., this Agreement shall prevail.
• This Agreement is binding on you, your heirs, executors, administrators, legal representatives, successors and assigns.
• If any provision of this Agreement is determined to be invalid or unenforceable, everything else in this Agreement shall continue in full force and effect.
